Patrice Motsepe’s ARC Investments to Delist from JSE: Key Details

In a significant strategic shift, billionaire Patrice Motsepe’s investment arm, African Rainbow Capital Investments (ARCI), has announced plans to delist from the Johannesburg Stock Exchange (JSE) and A2X. The group also intends to relocate its home base from Mauritius to South Africa, marking a major move in its investment strategy.

The Delisting Proposal

ARCI has proposed a cash offer of R9.75 per share to buy back its shares from shareholders. This offer represents a 12.6% premium on the closing price of R8.66 per share and a 21% premium on the 30-day volume-weighted average price of R8.06 per share. The delisting and relocation will require board approval, but the move is expected to provide value for investors.

Why the Move?

ARCI cited several reasons for the proposed delisting and relocation:

  1. Limited Public Shareholding: The group noted that almost all its shareholders are South African, and there is limited liquidity in ARCI shares. This has resulted in the share price not reflecting the true value of its investments in the ARC Fund.
  2. Trading at a Discount: ARCI shares have been trading at a discount to the net asset value (NAV) of the ARC Fund, meaning investors are not receiving the full value of their investments. The delisting is expected to address this discrepancy and deliver better value to shareholders.
  3. Mauritian Structure Challenges: When ARCI listed, Mauritius was seen as a business-friendly environment with the potential to attract international capital. However, the group has attracted very limited international funding, and its investments are primarily in South African companies. Additionally, operating costs in Mauritius have become increasingly expensive, and changes in tax legislation have made the structure less efficient.

The move to South Africa aligns with ARCI’s focus on its core market and investments. By relocating its base, the group aims to streamline operations, reduce costs, and improve tax efficiency. This strategic shift reflects a broader trend of South African businesses reassessing their offshore structures in light of changing economic and regulatory environments.

If the delisting proposal is approved, ARCI will no longer trade on the JSE or A2X, and its operations will be consolidated in South Africa. The group’s board believes this move will enhance shareholder value and provide a more efficient structure for future growth.
